Terms of Service

Effective Date: September 3, 2024

These Control Flow Labs Terms of Service (the “Agreement”) are entered into by and between Control Flow Labs (“Control Flow Labs”) and the entity or person accessing any services (“Customer” or “you”). By accessing or using our services, you agree to be bound by this Agreement.

1. Definitions

  • Affiliate: Any entity under the control of Customer.
  • Customer Data: Data submitted to the Services by or on behalf of Customer.
  • Services: Control Flow Labs' proprietary software-as-a-service solutions.
  • Order Form: A form used to order Services, detailing service plans, usage quantity, and Subscription Term.

2. Services

  • 2.1. Service Overview. Control Flow Labs provides a suite of customer service-oriented software-as-a-service solutions designed to manage interactions with users throughout their lifecycle.
  • 2.2. Provision of Services. Services are provided on a subscription basis for a set term designated in the Order Form.
  • 2.3. Access to Services. Access to Services is limited to Customer's employees and authorized users. Credentials must be kept confidential.

3. Customer Data and Obligations

  • 3.1. Data Processing. All data processing activities will be governed by our Data Processing Addendum.
  • 3.2. Customer Data. Customer retains all Intellectual Property Rights in Customer Data, granting Control Flow Labs the right to use it to provide Services.
  • 3.3. Storage of Customer Data. Control Flow Labs does not provide an archiving service and disclaims obligations for data storage.
  • 3.4. Customer Obligations. Customer is responsible for the accuracy and legality of all Customer Data. Customer agrees not to submit any Sensitive Personal Information and to comply with all applicable laws.

4. Security

  • 4.1. Control Flow Labs uses commercially reasonable measures to prevent unauthorized access to or use of the Services.

5. Third-Party Platforms

  • 5.1. Integration with Third-Party Platforms. Control Flow Labs Services may integrate with third-party platforms. Customer is responsible for compliance with third-party terms.

6. Ownership

  • 6.1. Control Flow Labs Technology. Control Flow Labs retains all Intellectual Property Rights to the Services and related technology. Feedback provided by Customer may be used by Control Flow Labs.

7. Subscription Term, Fees, and Payment

  • 7.1. Subscription Term. Subscriptions renew automatically unless terminated.
  • 7.2. Fees and Payment. All fees are as set forth in the Order Form and payable within 30 days of invoice.

8. Termination

  • 8.1. Term. The Agreement remains in effect until the end of the Subscription Term unless terminated earlier.
  • 8.2. Termination for Cause. Either party may terminate the Agreement for material breach if not cured within 30 days of notice.

9. Limited Warranty

  • 9.1. Limited Warranty. Control Flow Labs warrants that the Services will operate in substantial conformity with the documentation. Remedies for non-conformity include correction or termination of the subscription.
  • 9.2. Disclaimer. Except for the limited warranty, Services are provided "as is."

10. General Terms

  • 10.1. Assignment. Neither party may assign this Agreement without the other party's consent.
  • 10.2. Governing Law. This Agreement is governed by the laws of the Philippines.
  • 10.3. Notices. Notices must be in writing and sent to the addresses set forth in the Order Form.
